Terms of Use

Welcome to Binge It. These Terms of Use ("Terms") are an agreement between you and Middle Ground LLC ("we," "us") and govern your use of the Binge It mobile app for iOS and Android (the "App") and our website, GetBingeIt.com (the "Site") — together, the "Services." By using the Services, you agree to these Terms and to our Privacy Policy.

Who may use the Services

You must be at least 13 years old to use the Services. If you are under 18, you may use the Services only with the permission of a parent or guardian. By using the Services, you confirm you meet these requirements.

Your account

You sign in with your mobile phone number using a one-time passcode that we send you by text message. By entering your phone number, you expressly consent to receive text messages from us at that number for sign-in codes and important service messages about your account. These are service messages, not marketing texts; message frequency varies with your use of the Services, and standard message and data rates from your mobile carrier may apply. You represent that the phone number you provide is your own.

You agree to provide accurate information, keep your phone and phone number secure, and not share access to your Binge It account. You're responsible for activity that happens under your account, and you agree to update your account promptly if your phone number changes. If you believe your account has been accessed without permission, contact us right away.

Your content

Binge It lets you post ratings, reviews, lists, comments, and other content ("Your Content"). You own Your Content. By posting it, you grant Middle Ground LLC a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and distribute Your Content within the Services and in promoting the Services (for example, featuring a great review), for as long as Your Content remains on the Services. You can delete Your Content at any time.

You are responsible for Your Content. Don't post anything you don't have the right to share, and don't post content that:

• Harasses, threatens, bullies, or defames anyone;
• Is hateful, sexually explicit, or promotes violence or illegal activity;
• Infringes someone else's copyright, trademark, or other rights;
• Contains spam, scams, or deceptive promotions;
• Impersonates another person or misrepresents who you are.

We may remove content or suspend accounts that violate these Terms. Users can flag content using the "Report Review" feature, and we review reports.

Our content and third-party data

The Binge It name, logo, design, and software are owned by Middle Ground LLC and protected by intellectual property laws. You may not copy, modify, or create derivative works from them without our written permission.

Title information in the App — such as posters, cover art, synopses, and metadata — is supplied by third-party providers, including TMDB (movie and TV data provided by TMDb), book databases, and podcast directories. This data belongs to its respective owners and is provided for use within the Services.

Acceptable use

You agree not to misuse the Services — including attempting to access accounts or systems without authorization, scraping or harvesting data, interfering with the Services' operation, or using the Services to violate any law.

Termination

You can stop using the Services or delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a risk to the Services or other users. Sections of these Terms that by their nature should survive termination (such as intellectual property, disclaimers, and limitations of liability) will survive.

App store terms

If you download the App through the Apple App Store or Google Play, your use is also subject to their terms. Apple and Google are not parties to these Terms and have no responsibility for the App, but they are third-party beneficiaries of these Terms and may enforce them as to your use of the App downloaded from their store.

Disclaimers

The Services are provided "as is" and "as available." We don't guarantee that the Services will be uninterrupted, error-free, or that any content (including other users' reviews and third-party title data) is accurate. Recommendations on Binge It are the opinions of the users who post them.

Limitation of liability

To the fullest extent permitted by law, Middle Ground LLC and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, goodwill, or profits, arising from your use of the Services. To the extent any liability is not excludable, our total liability for all claims relating to the Services is limited to the greater of $100 or the amount you paid us in the past twelve months.

Indemnification

You agree to indemnify and hold harmless Middle Ground LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content or your violation of these Terms.

Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the jurisdiction of those courts.

Changes to these Terms

We may update these Terms from time to time. The current version will always be posted here with its "last updated" date, and for significant changes we'll provide notice in the App or by email. Continuing to use the Services after changes take effect means you accept the updated Terms.
